ABB Expands Automation Portfolio with Major UK Acquisition

Swiss multinational ABB has agreed to acquire Rotork, a UK-based engineering firm specializing in flow-control and automation technologies, in a deal valued at approximately $5.5 billion (£4.1 billion). The transaction represents one of ABB's largest acquisitions and marks a strategic expansion of its automation capabilities at the field device level.

Under the agreement, Rotork shareholders will receive 503 pence per share in cash—a roughly 60 percent premium over the company's three-month average share price. Rotork's board has unanimously endorsed the deal and will recommend shareholder approval at an upcoming meeting.

Strategic Rationale for the Combination

The acquisition brings together two companies with complementary strengths in industrial automation. Rotork manufactures electric actuators and flow-control solutions deployed across energy, water, chemicals, and industrial processing sectors. Its products enable customers to monitor, control, and automate critical infrastructure and industrial processes.

ABB, a 140-year-old technology company with approximately 110,000 employees worldwide, sees the combination as a way to enhance its automation offering with intelligent field devices and software. The addition of Rotork's technologies will help ABB customers improve safety, productivity, and sustainability in their operations.

"The combination brings together two companies whose purposes are closely aligned, with a shared focus on automation and electrification to enable more sustainable and efficient operations," said Dorothy Thompson, chair of Rotork.

Financial Impact and Operating Model

ABB expects the acquisition to increase group revenues by roughly 3 percent and be immediately accretive to its operational EBITDA margin. Within ABB's automation business area specifically, Rotork is projected to contribute approximately 12 percent additional revenue.

Following completion, Rotork will operate as a separate division within ABB's automation business under a strategic growth mandate. This approach aligns with ABB's decentralized operating model and aims to preserve Rotork's entrepreneurial culture while providing access to ABB's global scale, service network, and digital technology capabilities.

"As part of ABB, Rotork is expected to accelerate its growth and value creation while preserving its entrepreneurial spirit and customer proximity that makes this business so successful," said Morten Wierod, ABB's chief executive.

Why It Matters

This acquisition reflects the continued consolidation in industrial automation as technology companies seek to offer more comprehensive solutions spanning software, hardware, and field devices. By adding Rotork's flow-control expertise, ABB strengthens its position in process automation—a critical capability as industrial customers pursue digital transformation and operational efficiency. The deal also demonstrates ABB's willingness to deploy capital from recent portfolio changes into strategic M&A while maintaining capacity for its share buyback program.

Transaction Timeline

The deal is expected to close during the first half of 2027, subject to shareholder approval and regulatory clearances. Barclays is serving as sole financial adviser to ABB, with Freshfields providing legal counsel.
