ABB has agreed to acquire Rotork plc, a British manufacturer of intelligent flow control solutions and electric actuators, in a transaction valued at approximately $5.5 billion. The deal represents a 60 percent premium over Rotork's three-month average share price and is structured to pay 503 pence in cash per share.

The acquisition targets a strategic gap in ABB's automation portfolio by adding field-device layer capabilities that complement its existing control systems. Rotork specializes in mission-critical applications across oil and gas, chemicals, process industries, data centers, and water and power infrastructure.

Integration approach

Upon closing, Rotork will operate as a separate division within ABB's Automation business area under what ABB describes as a "strategic growth mandate." This structure aligns with ABB's decentralized operating model, which emphasizes local accountability and decision-making speed.

ABB plans to leverage its global service network and digital platforms to accelerate Rotork's development of intelligent device diagnostics and asset management solutions. The combination is intended to expand Rotork's installed-base service model and create additional lifecycle revenue opportunities through ABB's established customer relationships.

ABB has stated it has no current plans to significantly alter Rotork's UK operations, which will remain an important manufacturing and technology base.

Transaction timeline

The deal will be implemented through a court-sanctioned scheme of arrangement under UK law. Rotork's board has unanimously approved the transaction and will recommend shareholder approval at an upcoming meeting.

Subject to shareholder vote and regulatory approvals, the transaction is expected to close in the first half of 2027.
