Google pursues hybrid deal for AI coding talent

Google is in active discussions with San Francisco-based AI startup Mechanize for a deal valued at more than $1.5 billion, according to four people familiar with the negotiations. The arrangement would bring Mechanize talent into Google while establishing a non-exclusive licensing agreement for the startup's technology, Business Insider first reported.

The engineers Google aims to acquire would focus on model evaluation and development, specifically working to improve Google's AI coding capabilities. The deal structure and terms remain in flux as negotiations continue.

Why it matters

Coding has emerged as one of AI's most commercially valuable applications, with developers representing a critical customer segment. Google has fallen behind competitors OpenAI and Anthropic in capturing this market through products like Codex and Claude Code. This deal represents Google's effort to close that gap while using a transaction structure designed to sidestep potential antitrust concerns that could delay or block a traditional acquisition.

A familiar playbook for Google

The Mechanize discussions follow a pattern Google has established over the past two years. Rather than pursuing full acquisitions that invite regulatory scrutiny, the company has structured hybrid transactions that combine talent acquisition with technology licensing.

In 2024, Google brought back Character AI cofounder Noam Shazeer and secured non-exclusive rights to the startup's technology. Shazeer has since departed for OpenAI. Earlier, Google acquired talent from Windsurf after OpenAI attempted to buy the company, with Windsurf CEO Varun Mohan now leading Google's Antigravity agentic coding platform.

These arrangements allow Google to access critical AI capabilities while potentially avoiding the lengthy antitrust reviews that have become standard for major tech acquisitions.

Mechanize's technology and ambitions

Mechanize launched in 2023 with backing from prominent investors including former GitHub CEO Nat Friedman, Stripe CEO Patrick Collison, and podcaster Dwarkesh Patel. The startup raised $9.1 million earlier this year at a $500 million valuation.

CEO Tamay Besiroglu previously cofounded Epoch AI, another company focused on AI model testing. Mechanize's technology helps companies enhance their AI models' coding performance, addressing a specific weakness in Google's current offerings.

While Mechanize currently concentrates on software engineering applications, the company has stated broader objectives. Its website describes a "long-term goal" of achieving "full automation of valuable work across the economy."

Neither Google nor Mechanize provided comment on the discussions.
